1. Agreement to Terms

By accessing magenta-ia.studio or engaging Magenta IA Studio ("Company," "we," "us") for any service, you agree to be bound by these Terms of Service. If you do not agree, do not use our website or services. These terms apply to all visitors, clients, and anyone who accesses our services.

2. Services

Magenta IA Studio provides web design, AI integration, and digital marketing services including but not limited to: landing page design and development, chatbot configuration, lead automation, website migration, content creation, and monthly retainer support. The scope, deliverables, and timeline for each project are defined in a separate Project Agreement or Statement of Work (SOW) issued prior to commencement of work.

3. Payment Terms

All projects require a 50% deposit before work begins. The remaining 50% is due upon project completion and before final delivery. For monthly retainer services, payment is due on the 1st of each billing month.

Primary payment method: Zelle. Zelle details are provided upon project confirmation via email. We also accept bank transfer. Payments are processed in USD.

Invoices not paid within 7 days of the due date may result in a pause of active work. Accounts more than 30 days overdue may be subject to a 1.5% monthly late fee.

4. Revisions and Scope

Each project includes the number of revision rounds specified in your Project Agreement. Requests outside the agreed scope will be quoted separately and require written approval before execution. We define a revision as a refinement of existing work — not a change of direction or addition of new features.

5. Intellectual Property

Upon receipt of final payment, the client receives full ownership of the final deliverables (design files, code, copy) created specifically for their project. Magenta IA Studio retains the right to display the work in its portfolio and case studies unless a written NDA is in place. We retain ownership of any proprietary tools, frameworks, or templates used in production.

6. Client Responsibilities

Clients agree to:

• 01Provide all required materials (logos, copy, assets, brand guidelines) by the agreed deadline
• 02Designate a single point of contact for all project communications
• 03Review and provide feedback within 3 business days of each delivery
• 04Ensure all provided materials do not infringe on third-party intellectual property rights

7. Cancellations and Refunds

Projects may be cancelled by either party with 7 days written notice. If the client cancels after work has commenced, the deposit is non-refundable and any work completed beyond the deposit value will be invoiced at our standard hourly rate. Our money-back guarantee (see /guarantee) applies under the specific conditions outlined on that page.

8. Limitation of Liability

Magenta IA Studio is not liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to lost profits, lost data, or business interruption. Our total liability for any claim related to our services shall not exceed the total amount paid by the client for the specific project in question.

9. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in Miami-Dade County, Florida, unless both parties agree otherwise in writing.
